Terms of Use

These Terms of Use (“Terms”) are an agreement between you and MEGAHOST LLC (“we”, “us”) for your use of the Speakly app and website (“Speakly”). By creating an account or using Speakly, you agree to these Terms. Please also read our Privacy Policy.

On the Apple App Store, the Speakly iOS app is currently listed under the individual developer account of Amine Lahmar, who publishes it on behalf of MEGAHOST LLC. On Google Play, Speakly is published by MEGAHOST LLC. On both stores, MEGAHOST LLC provides the service and is your contracting party under these Terms.

1. Eligibility

You must be at least 16 years old to use Speakly. By using it, you confirm that you are.

2. Your account

You need an account to use Speakly. Give accurate information, keep your password secure and do not share your account. You are responsible for activity on your account. Tell us promptly at support@speaklys.site if you think someone else has accessed it.

4. AI feedback is for practice only

Speakly uses artificial intelligence to hold conversations, transcribe your speech and generate corrections, explanations, translations and scores. AI output can be inaccurate, incomplete or inappropriate, and speech recognition can mishear you. Use your own judgement.

Scores and levels in Speakly are practice estimates. Speakly’s IELTS-style practice gives feedback modelled on the kind of tasks in speaking exams; it is not an official IELTS score, is not endorsed by or affiliated with IELTS or its owners, and does not predict or guarantee any result in any exam or certification. Speakly is not a substitute for professional teaching, legal, medical or other advice.

6. Your content

You keep ownership of your recordings and what you say. You give us a worldwide, non-exclusive, royalty-free licence to store, process and transmit that content, including through our AI providers, only as needed to provide and improve Speakly for you, as described in our Privacy Policy. You are responsible for your content and confirm you have the right to share it.

7. Intellectual property

Speakly, including its software, design, coaches, scenarios, lessons, drills and trademarks, belongs to us or our licensors and is protected by law. We give you a personal, non-exclusive, non-transferable, revocable licence to use the app for your own non-commercial learning, under these Terms. Feedback generated for you may be used for your personal learning.

8. Apple and Google

If you downloaded Speakly from the Apple App Store, Apple’s Licensed Application End User License Agreement applies alongside these Terms where required. You acknowledge that these Terms are between you and us, not Apple; that Apple is not responsible for Speakly or its content, maintenance, support, warranty or any claims relating to it; and that Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you. If Speakly fails to conform to any applicable warranty, you may notify Apple for a refund of the purchase price, if any, and to the maximum extent permitted by law Apple has no other warranty obligation. If you downloaded Speakly from Google Play, Google Play’s terms also apply to your use of the store.

9. Changes to Speakly

We are continually improving Speakly and may add, change or remove features, coaches or content. If we make a change that materially reduces what you pay for, we will tell you in advance where reasonably possible.

10. Termination

You can stop using Speakly and delete your account at any time in Settings. We may suspend or end your access if you seriously or repeatedly break these Terms, if required by law, or if we stop offering Speakly, in which case we will give reasonable notice where possible. Sections that by their nature should survive termination (including 4, 6, 7, 11 and 12) continue to apply.

11. Disclaimers and limitation of liability

Speakly is provided “as is” and “as available”. To the maximum extent permitted by law, we make no warranties that Speakly will be uninterrupted, error-free or that its feedback will be accurate, and we disclaim implied warranties of merchantability, fitness for a particular purpose and non-infringement.

To the maximum extent permitted by law, we are not liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, data or opportunities, and our total liability for any claim relating to Speakly is limited to the greater of the amount you paid for Speakly in the 12 months before the claim or 50 US dollars (or the equivalent in your currency).

Nothing in these Terms limits liability that cannot be limited by law, such as liability for death or personal injury caused by negligence, for fraud, or your statutory rights as a consumer.

12. Governing law and disputes

These Terms are governed by the laws of the State of Colorado, United States, without regard to conflict-of-law rules. If you are a consumer, you also keep the protection of the mandatory laws of the country where you live, and you may bring claims in your local courts. Before starting a formal dispute, please contact us so we can try to resolve it.

13. Changes to these Terms

We may update these Terms. We will change the “Last updated” date and, for material changes, notify you in the app or by email before they take effect. If you continue to use Speakly after changes take effect, you accept the updated Terms; if you do not agree, stop using Speakly and delete your account.

14. General

If any part of these Terms is found unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. You may not transfer these Terms without our consent; we may transfer them to a successor. These Terms and the Privacy Policy are the entire agreement between you and us about Speakly.
